SCHEDULE C - TERMS & CONDITIONS

1. VEHICLE MAINTENANCE & REPAIRS

  1. Driver responsible for daily maintenance (oil checks, tire pressure, cleanliness)
  2. Minor repairs under TZS 50,000 covered by company
  3. Major repairs over TZS 50,000 require investor approval
  4. Scheduled maintenance every 5,000 km or 3 months (company responsibility)
  5. Driver must report all mechanical issues within 24 hours
  6. Unauthorized repairs without company approval void warranty

2. INSURANCE & ACCIDENTS

  1. Company maintains comprehensive insurance coverage
  2. Driver must report accidents to police and company within 2 hours
  3. Driver liable for accidents caused by negligence or traffic violations
  4. Insurance excess deducted from driver's deposit or future payments
  5. Vehicle impoundment costs borne by driver if fault determined

3. GPS TRACKING REQUIREMENTS

  1. GPS tracker must remain powered at all times during operations
  2. Tampering with or disabling GPS tracker grounds for immediate termination
  3. Daily operational status verified via GPS activity
  4. Vehicle considered non-operational if GPS inactive for 6+ hours
  5. No investor income distributed for non-operational days

4. INVESTOR INCOME DISTRIBUTION

  1. Investor receives 60% of daily driver payment
  2. Income credited to investor wallet within 24 hours of payment
  3. 7-day holding period before income becomes withdrawable
  4. Minimum withdrawal amount: TZS 10,000
  5. Withdrawals processed within 24-48 hours
  6. No income distributed if vehicle non-operational or payment missed

5. ECONOMIC ADJUSTMENTS

  1. Fuel price increases may trigger economic adjustments
  2. Payment amount temporarily reduced, contract extended proportionally
  3. Maximum extension: 3 months (90 days)
  4. Adjustments communicated 7 days in advance
  5. Investor income percentage remains 60% during adjustments

6. DEFAULT & REMEDIES

  1. Missed Payment: Grace until 10 PM with TZS 5,000 penalty
  2. 3 Consecutive Missed Payments: Contract termination
  3. 7 Non-consecutive Missed Payments (30 days): Contract termination
  4. Vehicle impoundment after 3 consecutive defaults
  5. Driver liable for unpaid amounts plus collection costs

7. EARLY TERMINATION

  1. Driver may terminate with 14 days notice and payment of penalty
  2. Early termination penalty: TZS 100,000 or 7 days payment (whichever higher)
  3. Investor may terminate with 30 days notice if driver defaults
  4. Company may terminate immediately for breach of contract
  5. All outstanding payments due immediately upon termination

8. DISPUTE RESOLUTION

  1. All disputes first attempted through internal mediation
  2. Unresolved disputes referred to arbitration in Dar es Salaam
  3. Arbitration conducted under Tanzania Arbitration Act
  4. Arbitrator's decision final and binding
  5. Each party bears own costs unless arbitrator decides otherwise

9. FORCE MAJEURE

  1. Neither party liable for delays due to events beyond control
  2. Force majeure events: war, pandemic, natural disasters, government action
  3. Affected party must notify within 48 hours
  4. Contract suspended during force majeure, not terminated
  5. Contract period extended by duration of suspension

10. GENERAL PROVISIONS

  1. This agreement governed by laws of Tanzania
  2. All amendments must be in writing and signed by all parties
  3. No party may assign rights without written consent
  4. Severability: Invalid clauses don't affect remaining agreement
  5. This agreement supersedes all prior agreements
